This Contract for Services ("Contract") is made effective as of_________________, 2007, by and between "MAKSIM INTRODUCTIONS LLC", 101 Pervomayskaya Str., Yoshkar-Ola, Mari El, Russia., and _______________________________________________________________. In this Contract, the service "All-Inclusive Premium" will be referred to as "SERVICE"; the party who is contracting to receive the SERVICE will be referred to as "CUSTOMER," and the party who will be providing the SERVICE will be referred to as "COMPANY". The terms of this agreement are as follows:
1. OBLIGATIONS OF THE COMPANY
1.1. The COMPANY will provide the Customer with general information about eligible women wishing to meet western men. The COMPANY will attempt, in good faith, to make certain the representations made by any such women are true.
1.2. The COMPANY will select and interview the women who meet the requirements of the CUSTOMER.
1.3. The COMPANY will make background checks on the ladies (up to five selected ladies) including verification of her identity, marital status, children, street address and criminal records.
1.4. The COMPANY will advertise personal information of the CUSTOMER in local newspapers if so requested.
1.5. The COMPANY will provide the CUSTOMER with the contact information (mail address, phone number if available, e-mail address if available) of any woman after the CUSTOMER exchanges five letters with her.
1.6. The COMPANY will provide unlimited correspondence with all the women, including translations, for twelve months. If the CUSTOMER wishes to continue correspondence through the COMPANY after twelve months are expired, he will pay for the communication and translation services according to the current Plans and Policy of the Company (http://yoshkar-ola.com/e/services/pricelist.shtml).
1.7. The COMPANY will ensure printing up to 10 photos of the CUSTOMER (in total) for the ladies monthly.
1.8. The COMPANY will provide the CUSTOMER with on-line consultations and support in office hours.
1.9. The COMPANY will give the CUSTOMER a life-long access to premium features of the web-site of the COMPANY which include:
1.10. The COMPANY will prepare the Fiancee Visa package for the lady selected by the CUSTOMER.
1.11. The COMPANY will provide the CUSTOMER a personal assistance during the CUSTOMER's stay in Russian; the assistant's travel expenses and other additional expenses are paid by the CUSTOMER extra if necessary.
1.12. Other services as requested by the CUSTOMER may be provided by the COMPANY for the benefit of the CUSTOMER when agreed to by both parties in writing. The COMPANY will determine on a case by case basis whether or not to perform any additional services and makes no warranty herein that it will do so.
1.13. The SERVICE is considered to be fulfilled in the following cases:
2. OBLIGATIONS OF THE CUSTOMER
2.1. The Customer will provide the Company with valid information about himself.
2.2. The Customer will not use a third party for interpreting and communication services, but will utilize the COMPANY for all such services.
2.3. The Customer will pay for all services provided by the Company as defined in the Plans and Services of this agreement. Any additional services not defined herein must be paid for prior to the time such services are performed.
2.4. To facilitate the payment for services rendered by the COMPANY, the CUSTOMER agrees to open an account with the COMPANY. The COMPANY is not obligated to perform any service until such time as the funds needed to pay for said service are fully credited to the CUSTOMERS account with the COMPANY. The CUSTOMER'S funds must be in his account with the COMPANY for a minimum of two full business days before they will be considered "fully credited" by the COMPANY.
3. THE CONTRACT VALUE
3.1. The cost of the SERVICE is 1500 (One Thousand Five Hundred) US Dollars.
3.2. Customers of the COMPANY with premium plans are eligible for $100 discount.
4. REFUND POLICY
4.1. If the COMPANY fails to fulfill the SERVICE within twelve months from the day of payment or if the CUSTOMER decides to cancel the service before five months have passed, the COMPANY refunds 50% of the fee. If the CUSTOMER cancels the service after five months, the COMPANY refunds 25%.
4.2. The COMPANY does not make a refund if the CUSTOMER fails to come to Russia within twelve months.
5. WARRANTY
5.1. The Company shall provide its services and meet its obligations under this Contract in a timely and workmanlike manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in the Company's community and region, and will provide a standard of care equal to, or superior to, care used by service providers similar to the Company on similar projects.
6. DISCLAIMER OF LIABILITY
6.1. MAKSIM INTRODUCTIONS, LLC, its owners, and employees, are not liable to the use of this service or to its registered participants for the content, quality, performance or any other aspect of any information provided by participants and transmitted by this service or for any errors in the transmission of said information. Nor is MAKSIM INTRODUCTIONS, LLC responsible to any person for any damages arising in any manner out of the use of this service. The users and participants acknowledge that they assume all risk and/or responsibility for any loss or damage arising from the uses to which this service is put. All amendments, additions or alterations of any kind to this agreement MUST be made in writing and signed by both parties bound herein. Absolutely no verbal alterations to this agreement will be considered binding. Furthermore, if a service agreed to verbally, but not in writing, is in fact performed by either party, the COMPANY is not obligated to perform services as defined in subsequent verbal agreements.
7. ENTIRE AGREEMENT
7.1. This Contract contains the entire agreement between the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties.
